Fabric Processing Terms and Conditions

Effective upon submission of materials to Fabric Backing & Finishing Company LLC (hereafter referred to as "FabricBack")

By submitting any fabric, textile, or other material (collectively referred to as "Material") to FabricBack for processing, treatment, or related services ("Services"), you ("Client") acknowledge and agree to the following terms and conditions:

1. No Guarantee of Outcome

FabricBack strives to provide quality Services; however, due to the wide variety of material types and conditions, we do not guarantee any specific result or performance outcome. We cannot ensure that the processed Material will meet any specific application, standard, or intended use unless otherwise agreed in writing prior to the commencement of Services.

2. No Warranties or Representations

All Services are provided "as is." FabricBack makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or conformity to any industry specifications. Any statements or recommendations provided by FabricBack are offered for informational purposes only and do not constitute guarantees.

3. Risk Acknowledgment and Client Responsibility

Client understands that all Materials are submitted for Services at the Client's sole risk. FabricBack does not inspect, test, or verify the integrity, condition, or suitability of any Material prior to processing. The Client accepts full responsibility for any issues that may arise, including but not limited to discoloration, shrinkage, distortion, delamination, or any damage or undesired results—whether caused by the inherent nature of the Material, existing flaws, or the Services performed.

4. Release and Limitation of Liability

By engaging FabricBack for Services, the Client agrees to release and hold harmless FabricBack, its officers, employees, agents, and affiliates from any and all claims, liabilities, damages, or losses—whether direct or indirect, known or unknown, foreseeable or unforeseen—that may result from the processing, condition, handling, or subsequent use of the Material. This includes, but is not limited to, costs related to product loss, labor, shipping, resale, or third-party claims.

5. Finality of Services – No Returns or Remedies

Once Material is submitted for Services, no refunds, credits, re-processing, or other remedies will be offered. The Client assumes all responsibility for results and outcomes. It is strongly recommended that Clients test Materials or request small samples prior to full-scale processing if uncertainties exist.

6. Governing Law and Jurisdiction

These Terms and any services performed by FabricBack shall be governed by the laws of the State of Georgia. Any disputes or legal actions shall be brought exclusively in the courts located in Fulton County, Georgia, and Client expressly consents to the jurisdiction and venue of such courts.
